1. Introduction

These Terms and Conditions (“Terms”) govern your use of my website at https://www.abstractcrmfreelance.com/ (the “Website”) and my professional CRM, automation, and marketing services (the “Services”).

3. Engagement & Scope of Work

3.1 Before starting work, I will provide you with a written or emailed proposal detailing:

  • the Services to be delivered;

  • deliverables or outputs;

  • timescales or milestones;

  • fees and payment schedule;

  • any specific terms relevant to the project.

3.2 Acceptance of the proposal (by written confirmation, email, or payment of an initial deposit) constitutes a binding agreement incorporating these Terms.
3.3 In the event of any conflict between the proposal and these Terms, the proposal shall take precedence except for clauses relating to liability, data protection, or governing law.

4. Client Responsibilities

You agree to:

  • provide timely access, materials, and feedback needed to complete the Services;

  • ensure that all information and materials you supply are accurate, lawful, and owned by you;

  • review and approve deliverables within any agreed review periods;

  • comply with all relevant laws and regulations related to your business operations.

If delays occur because of your failure to provide materials, information, or feedback, I may adjust timelines or fees accordingly.

5. Fees, Invoicing & Payment

5.1 Fees and payment terms are outlined in each proposal.
5.2 Unless otherwise agreed, with the balance payable upon completion or as per agreed milestones.
5.3 Invoices are payable within 30 days of issue.
5.4 Late payments may incur interest under the Late Payment of Commercial Debts (Interest) Act 1998 and/or suspension of Services until payment is made.
5.5 You agree to reimburse any reasonable costs incurred in recovering overdue payments.

6. Revisions & Additional Work

6.1 Minor revisions are included as outlined in your proposal.
6.2 Additional work or changes beyond the original scope will be charged at my standard hourly or daily rate and may extend project timelines.

7. Deliverables & Acceptance

7.1 Upon completion, deliverables will be provided in the agreed format.
7.2 You will have a review period (typically 7–14 days) to request reasonable amendments.
7.3 If no feedback is received within the review period, the work is deemed accepted.

8. Intellectual Property

8.1 All pre-existing intellectual property (methods, templates, code, processes) remains my property.
8.2 Upon full payment, I grant you a non-exclusive licence to use the final deliverables for your internal business purposes.
8.3 Third-party software, plugins, or tools used in my Services remain subject to their own licence terms.
8.4 I reserve the right to reference completed work for portfolio or marketing purposes unless you request otherwise in writing.

9. Confidentiality

9.1 Both parties agree to keep confidential all non-public information obtained during the course of the engagement.
9.2 This duty of confidentiality continues indefinitely beyond the termination of this agreement.

10. Data Protection & Privacy

10.1 I comply with all applicable data protection laws, including the UK GDPR and Data Protection Act 2018.
10.2 Any personal data processed in connection with the Services is handled in accordance with my Privacy Policy.
10.3 Where I process data on your behalf, I act as a “data processor,” and you as the “data controller.”
10.4 I will take all reasonable steps to ensure data security and confidentiality.

11. Liability

11.1 I will perform Services with reasonable care and skill.
11.2 Except as required by law, I exclude all warranties, express or implied.
11.3 To the fullest extent permitted by law, my total liability to you in respect of any claim shall not exceed the total fees paid for the Services in question.
11.4 I am not liable for any indirect, consequential, or economic loss (including loss of profit, data, or business opportunity).
11.5 Nothing in these Terms limits liability for death, personal injury, or fraud.

12. Termination

12.1 Either party may terminate this agreement with 14 days’ written notice if the other party materially breaches its obligations and fails to remedy within that period.
12.2 On termination, you shall pay for all work completed up to the termination date.
12.3 I may retain deliverables until all outstanding payments are received.

13. Force Majeure

Neither party is liable for delays or failure caused by events beyond reasonable control (e.g. natural disasters, strikes, pandemics, power failures).

14. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales.
Both parties agree to the exclusive jurisdiction of the courts of England and Wales for any disputes.
